SHIPRATR™ is a rate comparison and lead generation platform. We are NOT a freight broker, freight forwarder, ocean carrier, trucking company, drayage provider, or warehouse operator. We do not move freight. We do not store goods. We do not enter into any contract for transportation or warehousing services. All services are provided directly by the individual providers listed on our platform.
1. About SHIPRATR™
SHIPRATR™ LLC ("SHIPRATR," "we," "us," or "our") operates the website located at shipratr.com and any related services, applications, or tools (collectively, the "Platform"). SHIPRATR™ is incorporated and operates under the laws of the State of New York, United States.
The Platform is an online marketplace and information service that allows shippers ("Shippers") to search, compare, and request quotes from third-party freight carriers, freight forwarders, trucking companies, drayage providers, last-mile delivery services, and warehouse operators (collectively, "Providers"). SHIPRATR™ facilitates connections between Shippers and Providers but is not itself a party to any transaction, contract, or agreement between them.
2. Acceptance of Terms
By accessing or using the Platform — including searching rates, submitting a quote request, applying as a partner, or signing up for early access — you ("User") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform.
These Terms constitute a legally binding agreement between you and SHIPRATR™ LLC. We reserve the right to update these Terms at any time. Continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.
3. Platform Role — Information and Lead Generation Only
SHIPRATR™ is a technology platform and information service only. We expressly disclaim any role as a freight broker, freight forwarder, non-vessel-operating common carrier (NVOCC), motor carrier, ocean carrier, warehouse operator, or any other transportation or logistics service provider.
Specifically:
- SHIPRATR™ does not take possession or custody of any goods, cargo, or property at any time.
- SHIPRATR™ does not arrange, coordinate, or manage the physical movement or storage of any goods.
- SHIPRATR™ does not issue bills of lading, warehouse receipts, or any other transportation or storage documents.
- SHIPRATR™ does not hold any Federal Maritime Commission (FMC) license, FMCSA freight broker authority, or any other transportation regulatory license.
- SHIPRATR™ does not guarantee, warrant, or represent the accuracy of rates, transit times, availability, service quality, or any other information provided by Providers.
- All freight rates, warehouse rates, transit times, and service descriptions displayed on the Platform are provided by and are the sole responsibility of the individual Providers.
In plain English: When you book freight or warehouse space through a Provider you found on SHIPRATR™, your contract is with that Provider — not with SHIPRATR™. Any problems, disputes, claims, or issues with your shipment or storage must be resolved directly with the Provider. SHIPRATR™ is not responsible for anything that happens to your cargo or goods.
4. Disclaimer of Liability
4.1 No Liability for Provider Services
SHIPRATR™ SHALL NOT BE LIABLE — UNDER ANY LEGAL THEORY, INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE — FOR ANY LOSS, DAMAGE, DELAY, MISDELIVERY, THEFT, OR DESTRUCTION OF GOODS, CARGO, OR PROPERTY IN CONNECTION WITH SERVICES PROVIDED BY ANY PROVIDER LISTED ON THE PLATFORM.
This includes but is not limited to:
- Lost, damaged, stolen, or destroyed cargo during ocean, air, or ground transport
- Goods damaged, lost, or destroyed while in warehouse storage
- Delays in transit or delivery caused by any Provider
- Incorrect or misleading rate quotes provided by any Provider
- Customs delays, seizures, or regulatory issues
- Provider insolvency, bankruptcy, or cessation of operations
- Breach of contract by any Provider
- Personal injury or property damage caused by any Provider
4.2 No Guarantee of Rate Accuracy
Rates displayed on the Platform are indicative only and are provided by Providers. SHIPRATR™ makes no representation or warranty that any rate displayed is the final, confirmed, or guaranteed rate. All rates are subject to confirmation directly with the Provider. Actual rates may differ from those displayed based on market conditions, cargo specifications, availability, fuel surcharges, and other factors.
4.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHIPRATR™'S TOTAL LIABILITY TO ANY USER FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT PAID BY THE USER TO SHIPRATR™ IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).
SHIPRATR™ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF DATA, OR LOSS OF GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
5. User Responsibilities
By using the Platform, you agree that:
- You will conduct your own due diligence on any Provider before entering into a contract with them, including verifying their licenses, insurance, and qualifications.
- You will negotiate and confirm all rates, terms, and service details directly with the Provider before booking.
- You will obtain appropriate cargo insurance or warehouse insurance for any goods — SHIPRATR™ strongly recommends all Shippers carry adequate cargo insurance regardless of any Provider's stated liability limits.
- You will not use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
- You will provide accurate and complete information when submitting quote requests.
- You will not submit false, misleading, or fraudulent quote requests.
- You understand that submitting a quote request does not constitute a binding contract with any Provider or with SHIPRATR™.
6. Dispute Resolution
6.1 Provider Disputes
All disputes, claims, or issues arising from or relating to freight or warehousing services must be resolved directly between the Shipper and the Provider. SHIPRATR™ is not a party to any such dispute and has no obligation to mediate, arbitrate, or otherwise assist in resolving disputes between Shippers and Providers.
6.2 Disputes with SHIPRATR™
Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA), conducted in New York, New York. You waive any right to a jury trial or class action proceeding. These Terms are governed by the laws of the State of New York, without regard to conflict of law principles.
7. Intellectual Property
The SHIPRATR™ name, logo, website design, application code, content, and all related intellectual property are owned by SHIPRATR™ LLC and are protected by trademark, copyright, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any SHIPRATR™ intellectual property without express written permission.
8. Privacy
Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy at shipratr.com/privacy to understand how we collect, use, and protect your information.
9. Third-Party Content
The Platform displays rates, information, and content provided by third-party Providers. SHIPRATR™ is not responsible for and does not endorse any third-party content. Providers are solely responsible for the accuracy, completeness, and legality of the information they provide. SHIPRATR™ reserves the right to remove any Provider or content from the Platform at any time for any reason.
10. Indemnification
You agree to indemnify, defend, and hold harmless SHIPRATR™ LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable attorneys' fees — arising out of or in any way connected with your use of the Platform, your violation of these Terms, or your interaction with any Provider.
11. Termination
SHIPRATR™ reserves the right to suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, all provisions of these Terms that by their nature should survive will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
12. Entire Agreement
These Terms, together with our Privacy Policy and any applicable Partner Agreement, constitute the entire agreement between you and SHIPRATR™ with respect to the Platform and supersede all prior agreements, representations, and understandings.
